By creating an account, accessing, or using the CrimsonDirector marketplace platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services.

User Accounts and Registration

You agree to notify us immediately of any unauthorised use of your account or any other breach of security. We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent, abusive, or illegal activities.

User Obligations and Conduct

As a user of our marketplace platform, you agree to:

Seller Responsibilities

If you operate as a seller on our marketplace, you have additional obligations:

• Accurately describe all products and services offered
• Honour all sales commitments and delivery promises
• Maintain appropriate inventory levels and availability
• Comply with consumer protection laws and regulations
• Handle customer service enquiries professionally and promptly
• Provide proper invoicing and tax documentation as required

Payment Terms and Fees

Use of our marketplace platform may be subject to various fees, including transaction fees, listing fees, and service charges. All applicable fees will be clearly disclosed before you incur any charges.

Payment processing is handled through secure third-party providers. You authorise us to charge your designated payment method for all applicable fees. All fees are non-refundable except as specifically stated in these terms or required by applicable law.

Intellectual Property

The CrimsonDirector platform, including its design, functionality, text, graphics, logos, and software, is owned by CrimsonDirector B.V. and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without explicit written permission.

By posting content on our platform, you grant us a non-exclusive, worldwide, royalty-free licence to use, display, and distribute such content in connection with operating our marketplace services. You retain ownership of your content and are responsible for ensuring you have the right to post such content.

You agree to respect the intellectual property rights of others and not to post content that infringes on copyrights, trademarks, or other proprietary rights.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these terms by reference. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

Dispute Resolution

We provide dispute resolution services to help resolve conflicts between buyers and sellers. While we will make reasonable efforts to facilitate resolution, we are not responsible for the outcome of disputes or the actions of marketplace participants.

For disputes that cannot be resolved through our internal processes, you agree to first attempt resolution through mediation before pursuing legal action. Any legal proceedings must be conducted in accordance with the governing law specified in these terms.

Limitation of Liability

To the maximum extent permitted by applicable law, CrimsonDirector B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Our total liability to you for any claims arising from or related to these terms or our services shall not exceed the total amount of fees paid by you to CrimsonDirector in the twelve months preceding the claim.

We provide our marketplace platform "as is" and make no warranties, express or implied, regarding the availability, accuracy, or reliability of our services. We do not guarantee that our platform will be uninterrupted, error-free, or free from harmful components.

Indemnification

You agree to indemnify, defend, and hold harmless CrimsonDirector B.V., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, or your infringement of any third-party rights.

Termination

Either party may terminate this agreement at any time with appropriate notice. You may close your account by following the procedures outlined in your account settings. We may suspend or terminate your account immediately if you violate these terms or engage in prohibited activities.

Upon termination, your right to use our services will cease immediately, but provisions relating to intellectual property, limitation of liability, indemnification, and governing law will survive termination.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes by posting the updated terms on our website and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.

Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the intent of the original provision.

Entire Agreement
